CapX Terms and Conditions

Important Notice

These Terms and Conditions form a binding agreement between the user and Capasso Enterprises, Inc., and construction automation inc. doing business as CapX and/Capx.tech. CapX is an early stage platform that may still be in development, testing, limited release, or beta. Features may change, be incomplete, contain errors, or be discontinued at any time.

By creating an account, accessing, browsing, downloading, connecting an account, or otherwise using CapX, you agree to these Terms and to the CapX Privacy Policy. If you do not agree, do not use CapX.

CapX is offered on an "as is" and "as available" basis. Your use of the platform is at your own risk. CapX does not guarantee uninterrupted availability, accuracy, security, suitability for any particular purpose, or that any user, employer, contractor, project, posting, message, company page, or opportunity is legitimate, safe, accurate, or lawful.

CapX is not a bank, payroll processor, broker, insurer, general contractor, staffing firm, legal advisor, safety consultant, engineer of record, or licensed professional advisor unless expressly stated in a separate written agreement. Any information, recommendations, rankings, profile information, communications, or platform outputs are for general informational purposes only and should not be relied on as legal, financial, tax, engineering, employment, safety, or professional advice.

1. Introduction and Scope

CapX is a professional networking and software platform operated by Capasso Enterprises, Inc. for users in the United States construction and related industries. The Services may include a website, mobile applications, messaging, feeds, profiles, company pages, job tools, payment features, identity or credential tools, geolocation tools, scheduling tools, data integrations, email integrations, banking or payroll related integrations, analytics, APIs, artificial intelligence features, and other current or future CapX branded products or services.

These Terms apply to all users, visitors, account holders, companies, recruiters, administrators, paying subscribers, and any person or entity accessing the Services. Supplemental terms may apply to specific features, paid plans, enterprise offerings, developer tools, pilot programs, or promotional offers. If supplemental terms conflict with these Terms, the supplemental terms control only for the specific feature involved.

We may update these Terms from time to time. If we make material changes, we may provide notice by posting an updated version in the Services, by email, or by another reasonable method. Your continued use after the revised Terms become effective means you accept the revised Terms.

2. Eligibility and Account Registration

You must be at least 18 years old and legally able to enter into a binding contract to use CapX. CapX is not directed to children under 13, and users under 18 may not create accounts or use the Services.

You agree to provide accurate, current, and complete registration and profile information and to keep it updated. You may not impersonate another person, misstate your identity or credentials, or create accounts using false, misleading, or unauthorized information.

Unless we expressly allow otherwise in writing, each individual user may maintain only one personal account, and each business may maintain only authorized business accounts. We may suspend, merge, reclaim, or remove duplicate, fake, inactive, misleading, or unauthorized accounts.

3. Account Security and Connected Accounts

You are responsible for maintaining the confidentiality of your credentials and for all activities that occur under your account. You must use reasonable security measures, including strong passwords and any authentication steps that we make available.

CapX may allow you to connect third party services such as email providers, calendar tools, payment processors, payroll systems, applicant tracking systems, bank data providers, or other software platforms. By connecting an account, you represent that you have authority to do so and authorize CapX and its service providers to access, receive, store, use, transmit, and process the information made available through that connection in accordance with your settings, our Privacy Policy, and the functionality of the Service.

You are solely responsible for reviewing what permissions you grant to CapX and any third party provider. If a connected service changes its API, permissions, or data practices, functionality may be limited or interrupted. We are not responsible for third party systems, their security, their uptime, or their acts or omissions.

4. Privacy, Sensitive Data, and Consent

Your use of CapX is also governed by the CapX Privacy Policy, which is incorporated into these Terms by reference. Where required by law, you consent to the collection, use, disclosure, retention, and processing of information as described there.

Depending on the features you use, CapX may process sensitive or high risk data, including financial account information, payment details, transaction history, precise or approximate location data, device identifiers, identity verification data, user generated content, private messages, contact information, email metadata or contents from connected accounts, professional credentials, and other information you choose to provide or authorize us to access.

You are responsible for obtaining all notices, consents, and authorizations required by law before uploading, syncing, sharing, or otherwise providing personal information, project information, employee information, customer information, banking information, or other data relating to another person or entity. If you submit data about another person, you represent that you have the legal right to do so.

CapX may use automated systems, including artificial intelligence tools, to improve moderation, search, matching, ranking, fraud detection, user support, workflow automation, and product functionality. You acknowledge that automated outputs may be incomplete, inaccurate, offensive, biased, or unsuitable, and they should be reviewed by a human before being relied upon.

5. License to Use the Services

Subject to these Terms, CapX grants you a limited, revocable, non exclusive, non transferable license to access and use the Services for lawful internal business and professional purposes.

You may not copy, reproduce, modify, distribute, sell, lease, sublicense, reverse engineer, decompile, scrape, frame, mirror, data mine, train models on, or otherwise exploit the Services or platform content except as expressly permitted by law or by our prior written consent.

You may not use bots, agents, scripts, scrapers, browser automation, or similar means to access or interact with CapX in a manner that sends excessive requests, circumvents usage limits, harvests data, impersonates humans, or interferes with platform operations unless specifically authorized in writing by CapX.

6. User Content and Platform Rights

You retain ownership of the content you submit, upload, publish, transmit, or display through CapX, subject to the rights you grant in these Terms.

You grant CapX and its affiliates, vendors, successors, and service providers a worldwide, non exclusive, royalty free, transferable, sublicensable license to host, store, copy, reproduce, adapt, modify, format, transmit, display, perform, distribute, index, analyze, and otherwise use your content as necessary to operate, secure, improve, develop, market, and provide the Services and related business operations, subject to our Privacy Policy and applicable law.

You represent and warrant that you own or control all rights necessary to grant the foregoing license and that your content and your use of it do not violate any law, contract, confidentiality obligation, privacy right, publicity right, intellectual property right, or other right of any person or entity.

CapX may preserve and retain content, logs, audit records, and related metadata as reasonably necessary for security, backup, compliance, product integrity, dispute resolution, legal process, or enforcement of these Terms, even if you later delete content or close your account.

7. Acceptable Use

You may use CapX only for lawful purposes and in compliance with these Terms, our policies, and applicable federal, state, and local laws.

You may not use CapX to harass, defame, threaten, stalk, discriminate, exploit, dox, spam, deceive, commit fraud, promote violence, infringe rights, distribute malware, evade law enforcement, or encourage unsafe, unlawful, or unethical construction, employment, financial, or workplace practices.

You may not upload or post content that is false, misleading, confidential without authorization, defamatory, invasive of privacy, sexually explicit, hateful, discriminatory, exploitative, or otherwise objectionable.

You may not use CapX to collect or scrape user data, infer personal data at scale, monitor location without consent, intercept communications, or access information you are not authorized to access.

You may not interfere with or disrupt the Services, probe or scan for vulnerabilities, bypass security measures, or attempt to gain unauthorized access to accounts, systems, networks, or data.

8. Jobs, Hiring, Referrals, and Professional Interactions

CapX may provide tools for networking, referrals, recruiting, job posts, direct messaging, company pages, introductions, and project related opportunities. CapX does not employ users merely because they use the platform, and CapX is not responsible for the acts, omissions, qualifications, licensing status, insurance status, background, payment practices, safety practices, or legal compliance of users, employers, recruiters, subcontractors, general contractors, vendors, or other third parties.

We do not guarantee that any posting, company, project, or opportunity is valid, safe, lawful, financially sound, insured, bonded, properly licensed, or free of fraud. You are solely responsible for performing your own diligence, including background checks, license verification, insurance verification, project review, contract review, payment review, and safety review before engaging with another party.

Any decision to hire, contract with, pay, message, meet, retain, refer, promote, or otherwise interact with another person or company is at your own risk.

9. Financial Features, Payments, and Banking Data

If CapX offers payment, wallet, payout, payroll, invoicing, open banking, or financial data features, those features may be provided by third party financial institutions or service providers and may be subject to additional terms, disclosures, consents, and verification requirements.

CapX is not responsible for delays, reversals, holds, chargebacks, payment failures, bank errors, network outages, fraud, account freezes, identity verification failures, or losses caused by financial institutions, payment processors, data aggregators, card networks, or third party providers.

You are solely responsible for the accuracy of payment instructions, bank account details, taxpayer information, worker classification, payroll instructions, benefit elections, and compliance decisions. CapX does not guarantee that any financial feature is suitable for your legal, tax, payroll, or regulatory obligations.

Where applicable, you authorize us and our providers to verify your identity, validate linked accounts, and take steps reasonably necessary to prevent fraud, comply with law, and protect the Services.

10. Location Based Features and Mobile Permissions

Certain features may use location services, geofencing, mapping, or mobile permissions. Location information may be approximate or precise depending on your device, settings, operating system, permissions, and available signals.

CapX does not guarantee the accuracy, completeness, timeliness, or suitability of location based information, time records, route data, site arrival data, or geofence events. You are solely responsible for reviewing and confirming any location based record before relying on it for payroll, attendance, discipline, scheduling, billing, project management, or compliance purposes.

Use of location based features is at your own risk, especially where inaccurate data could affect wages, timekeeping, safety, compliance, or employment decisions.

11. AI Features and Beta Features

CapX may offer beta, pilot, test, limited release, artificial intelligence, automation, recommendation, ranking, matching, drafting, or predictive features. These features may be experimental, may not work as intended, and may be modified or withdrawn at any time without notice.

Beta and AI features are provided strictly at your own risk. They may generate inaccurate, incomplete, outdated, offensive, or inappropriate outputs. They may fail to identify important facts or may suggest actions that are wrong or harmful if followed blindly.

You are solely responsible for independently reviewing all AI or beta generated outputs before using, sharing, publishing, relying on, or implementing them. CapX disclaims liability for losses or claims arising from reliance on AI, automation, or beta functionality.

12. Communications and Electronic Consent

You consent to receive electronic communications from CapX, including notices, disclosures, transactional messages, service announcements, and other communications related to your use of the Services. These communications may be provided by email, in app message, text message where permitted, or posting within the Services.

You agree that electronic records and electronic signatures have the same force and effect as paper records and handwritten signatures to the maximum extent permitted by law. You are responsible for maintaining current contact information and for checking the Services and your email for notices.

13. Paid Services, Subscriptions, and Trials

Some features may require payment, subscription, pilot fees, usage based charges, implementation fees, or other charges. Prices, features, billing intervals, and plan terms may change at any time, subject to applicable law.

If you purchase a subscription or recurring service, you authorize CapX or its payment provider to charge your selected payment method on a recurring basis until you cancel. Unless otherwise stated, subscriptions renew automatically for successive periods equal to the initial term.

You are responsible for all taxes, duties, and governmental charges associated with your purchase except taxes based on our net income. Unless required by law or expressly stated otherwise, fees are non refundable, including for partial billing periods, unused time, feature changes, outages, or account suspension caused by your violation of these Terms.

Free trials, promotional credits, pilot programs, and discounted access may be modified or terminated at any time. At the end of a free trial, we may begin charging the payment method you provided unless you cancel beforehand.

14. Third Party Services and External Content

The Services may contain integrations, links, embeds, APIs, or access points to third party products, websites, data, content, and services. CapX does not control and is not responsible for any third party product, service, content, security practice, privacy practice, legality, availability, or performance.

Your dealings with third parties are solely between you and the third party. CapX is not a party to those dealings and is not liable for any loss or damage arising out of them.

15. Suspension, Termination, and Enforcement

We may investigate violations, remove content, limit visibility, disable features, suspend access, terminate accounts, reclaim usernames, or take any other action we reasonably deem appropriate to protect users, CapX, third parties, or compliance with law.

We may take action with or without prior notice if we believe you violated these Terms, created risk or possible legal exposure, infringed rights, engaged in fraud, failed to pay fees, misused data, interfered with operations, or used the Services in a manner inconsistent with the intended purpose of CapX.

Upon suspension or termination, your right to use the Services ends immediately. Sections that by their nature should survive will survive, including provisions relating to ownership, licenses, disclaimers, limitations of liability, indemnity, arbitration, and governing law.

16. Disclaimers

THE SERVICES ARE PROVIDED ON AN "AS IS," "AS AVAILABLE," AND "WITH ALL FAULTS" BASIS TO THE MAXIMUM EXTENT PERMITTED BY LAW.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CAPX AND ITS RELATED PARTIES DISCLAIM ALL WARRANTIES, EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON INFRINGEMENT, QUIET ENJOYMENT, DATA ACCURACY, SYSTEM INTEGRATION, SECURITY, AVAILABILITY, UPTIME, AND THAT THE SERVICES WILL BE ERROR FREE OR UNINTERRUPTED.

WITHOUT LIMITING THE FOREGOING, CAPX DOES NOT WARRANT OR GUARANTEE THAT THE SERVICES, CONTENT, USER GENERATED CONTENT, CONNECTED DATA, LOCATION DATA, PAYMENT FEATURES, AI OUTPUTS, MATCHES, RANKINGS, OR COMMUNICATIONS WILL BE ACCURATE, COMPLETE, RELIABLE, SAFE, SECURE, AVAILABLE, LAWFUL, OR SUITABLE FOR ANY PURPOSE.

YOUR USE OF THE SERVICES, ANY RELIANCE ON PLATFORM CONTENT OR USER CONTENT, AND ANY INTERACTION WITH OTHER USERS OR THIRD PARTIES IS ENTIRELY AT YOUR OWN RISK.

17. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CAPX, CAPASSO ENTERPRISES, INC., AND THEIR OFFICERS, DIRECTORS, OWNERS, EMPLOYEES, AFFILIATES, CONTRACTORS, AGENTS, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, BUSINESS, DATA, REPUTATION, GOODWILL, CONTRACTS, OPPORTUNITIES, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE AGGREGATE LIABILITY OF CAPX AND ITS RELATED PARTIES FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF ONE HUNDRED UNITED STATES DOLLARS OR THE AMOUNT YOU PAID TO CAPX FOR THE APPLICABLE SERVICE IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

THE LIMITATIONS IN THIS SECTION APPLY TO ALL THEORIES OF LIABILITY, INCLUDING CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, MISREPRESENTATION, RESTITUTION, OR OTHERWISE, AND EVEN IF ANY LIMITED REMEDY FAILS OF ITS ESSENTIAL PURPOSE.

18. Indemnification

You agree to defend, indemnify, and hold harmless CapX, Capasso Enterprises, Inc., and their officers, directors, owners, employees, affiliates, contractors, agents, licensors, successors, and assigns from and against any claims, demands, actions, proceedings, liabilities, damages, judgments, settlements, penalties, fines, losses, costs, and expenses, including reasonable attorneys' fees, arising out of or relating to your content, your data, your use of the Services, your connected accounts, your interactions with third parties, your violation of these Terms, or your violation of any law or right of another person or entity.

19. Dispute Resolution, Arbitration, and Class Action Waiver

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR RIGHTS.

Except for claims eligible for small claims court and claims seeking injunctive or equitable relief for misuse of intellectual property, confidential information, trade secrets, data security incidents, or unauthorized access, any dispute, claim, or controversy arising out of or relating to these Terms or the Services will be resolved by binding individual arbitration administered by the American Arbitration Association under its applicable consumer or commercial arbitration rules, as determined by the nature of the claim.

You and CapX each waive any right to a jury trial and any right to participate in a class action, collective action, mass action, coordinated action, or representative proceeding. Claims must be brought only in an individual capacity.

Before initiating arbitration, the claiming party must send written notice of the dispute and allow at least 30 days for informal resolution. Notices to CapX must be sent to the contact information listed below. If informal resolution fails, either party may initiate arbitration.

Any arbitration shall take place in Connecticut unless the applicable AAA rules or mandatory law require otherwise, or unless the parties agree to a remote proceeding or different location. The Federal Arbitration Act and applicable federal arbitration law govern the interpretation and enforcement of this Section.

20. Governing Law

These Terms and any dispute between you and CapX will be governed by the laws of the State of Connecticut and applicable federal law, without regard to conflict of laws rules, except to the extent superseded by the Federal Arbitration Act or mandatory consumer protection law that cannot be waived.

21. Miscellaneous

These Terms, together with the Privacy Policy and any feature specific terms expressly incorporated by reference, constitute the entire agreement between you and CapX regarding the Services and supersede prior or contemporaneous understandings relating to the same subject matter.

If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in full force and effect, and the invalid provision will be enforced to the maximum extent permitted by law.

Our failure to enforce any provision will not constitute a waiver of that provision or any other provision.

You may not assign these Terms or any rights or obligations under them without our prior written consent. We may assign these Terms in connection with a merger, acquisition, financing, reorganization, sale of assets, or by operation of law.

We are not liable for delay or failure caused by events beyond our reasonable control, including internet outages, vendor failures, acts of government, labor disputes, cyberattacks, natural disasters, war, terrorism, civil unrest, epidemics, power failures, or interruptions in transportation or telecommunications.

Section headings are for convenience only and do not affect interpretation.
